General Terms and Conditions "Levamio Review Agent" (for businesses only)
1. Scope, provider, businesses only
1.1 These Terms apply to all contracts for the use of the software service "Levamio Review Agent" (German name: "Levamio Bewertungs-Agent"; hereinafter the "Service"). The provider is NEXTLEVEL CORPORATE SERVICE PROVIDER - FZCO, Building A1, IFZA Business Park, Dubai Digital Park, Dubai Silicon Oasis, Dubai, United Arab Emirates, DIEZ License No. 67837, represented by Tassilo Peter Seitz, email: [email protected], phone: +971 58 302 5922 (hereinafter "we").
1.2 The Service is directed exclusively at businesses (entrepreneurs within the meaning of § 14 BGB (German Civil Code) or comparable concepts of the respective applicable law), legal entities under public law and special funds under public law (hereinafter the "Customer"). We do not conclude contracts with consumers. By registering, the Customer confirms use for its commercial or independent professional activity. We may request evidence.
1.3 The Customer's general terms and conditions do not apply, even if we do not expressly object to them.
2. Services
2.1 The Service is software with which the Customer (a) generates QR codes and links that lead without an intermediate step to its public review page (e.g. Google), (b) keeps a customer list with a documented legal basis and can send, from that list, requests for a review by email in its name, (c) records reviews and, using templates or AI assistance, creates, edits, approves and publishes reply drafts, and (d) views analytics (visits, click rate, reply rate). The interface, email templates and reply templates are available in several languages.
2.2 No guarantee of results. We owe neither a particular number nor a particular content nor a particular review rating. Whether and how recipients leave a review is for them alone to decide. We do not sell, create or broker reviews.
2.3 Fair review practice (guardrails). The Service is designed so that all of the Customer's customers are equally asked for an honest review. It does not support pre-filtering of satisfied customers ("review gating"), incentives for reviews or requests for exclusively positive reviews; corresponding wording in the Customer's own texts is blocked. QR codes and links lead only to known review platforms.
2.4 Dispatch requirements and kill switch. Email requests are only possible to contacts for whom the Customer has documented a legal basis (section 4), only in countries for which the Service offers email requests, after confirmation of the Customer's reply-to address, with complete sender details and with a minimum interval of 180 days per contact. Dispatch to end customers is being enabled step by step; until it is enabled, requests are only simulated and logged, but not delivered. QR codes and links are not affected by this.
2.5 Replies only after approval. Reply drafts are never published automatically. The Customer reviews and approves each draft; any subsequent change requires a new approval. Direct publication via the Google Business Profile is only available once we enable it; until then, the Customer copies approved replies itself.
2.6 We may further develop the Service provided that the contractual core is preserved and the change is reasonable. We inform the Customer of material changes by email with reasonable advance notice.
3. Registration, trial period, conclusion of contract
3.1 Sign-in takes place via a single-use email link (valid for 15 minutes) after an automated bot check. When creating the company, the Customer accepts these Terms and the Data Processing Agreement; we store the version, timestamp and accepting user.
3.2 The Customer may test the Service free of charge for 14 days (currently up to 50 email requests per month, at most 20 per 24 hours, 20 AI reply drafts, 3 QR codes/links, 200 contacts). The trial period ends automatically; a paid subscription arises only by booking a plan.
3.3 The contract for a paid subscription is concluded when the Customer selects a plan in the ordering process via Stripe Checkout and completes the order. If the Customer books during the trial period, billing begins at the end of the trial period.
4. Responsibility of the Customer
4.1 The Customer is the sender and the controller. Every review request and every published reply is a statement of the Customer. The Customer is solely responsible for
- the existence and documentation of a legal basis for each email request – in particular effective, verifiable consent or, where the Service offers this for the country concerned and the Customer has activated it, the conditions of a statutory existing-customer exception (in Germany § 7(3) UWG (German Act against Unfair Competition): address obtained by the Customer itself in connection with the sale of goods or services, clear notice of the right to object at the time of collection, no objection). The Customer is aware that requests for reviews by email are considered advertising in many countries and that the applicability of exceptions has not been conclusively settled; in case of doubt, the Customer chooses consent or the QR code;
- the accuracy of the imported data and of the country details;
- the content and lawfulness of its own texts and approved replies, including adopted AI suggestions;
- the sender details (legal notice/imprint obligations) in the field provided for this purpose;
- compliance with the policies of the review platforms (e.g. Google) and with professional obligations (e.g. confidentiality obligations in the healthcare professions);
- the fulfilment of information obligations towards its customers as data protection controller (section 10).
4.2 The Customer may not use the Service to (a) contact persons without a legal basis, (b) offer incentives for reviews or steer only satisfied customers towards leaving a review, (c) generate fake or purchased reviews or influence reviews of third parties (e.g. competitors), (d) process health data or other special categories of personal data, (e) act in the name of third parties or under third-party brands.
4.3 The Customer indemnifies us against claims of third parties (including fines and costs of warning letters, to the extent legally permissible) based on a culpable breach of its obligations under this section, including reasonable costs of legal defence.
4.4 The Customer authorises us to send review requests in its name via our dispatch service – with the sender name "[Name of the Customer] via Levamio" (in German "über Levamio"), a sender address of our dispatch domain, the Customer's confirmed reply-to address, the reason for receipt, an unsubscribe link and a notice that the request was sent with Levamio.
4.5 Abuse prevention. The Service limits dispatch per plan, permanently blocks unsubscribed addresses per Customer, rejects sender names containing protected third-party brands and redirects only to known review platforms. If, within 7 days, "sender unknown" reports are received concerning three different requests of a Customer, the Service automatically blocks its dispatch and its redirects until we have reviewed the case.
5. Prices and payment
5.1 The prices displayed at the time of the order apply. Currently: Starter €19 per month (300 email requests/month, 60 AI reply drafts/month, 5 QR codes/links, 2,000 contacts), Pro €49 per month (2,000 email requests/month, 500 AI reply drafts/month, 50 QR codes/links, 20,000 contacts, Google Business Profile once enabled). All prices are net prices plus statutory VAT, where applicable.
5.2 Billing takes place monthly in advance via Stripe. We provide invoices electronically.
5.3 In the event of default in payment, we may, after an unsuccessful payment reminder with a deadline of at least 7 days, suspend email requests and AI drafts; access to the data remains available until the end of the contract.
5.4 We announce price changes by email at least 6 weeks in advance; they apply from the next billing period thereafter. The Customer may terminate with effect from the time of the change; we point this out in the announcement.
6. Term and termination
6.1 The subscription runs for an indefinite period and may be terminated by either party with effect from the end of the current billing month (in text form to [email protected] or, once available, in the customer portal).
6.2 A switch between Starter and Pro is possible with effect from the next billing period; an upgrade is possible immediately on request with pro rata billing.
6.3 The right to extraordinary termination for good cause remains unaffected. Good cause exists for us in particular if the Customer is a consumer, breaches section 4.2, breaches section 4.1 despite a warning, or is in default with payments for two months.
6.4 The Customer may export its data at any time (JSON, customer list as CSV) and delete its account and company itself. The end of the contract is the end of a cancelled subscription or – without a booked subscription – the end of the trial period. After the end of the contract, the Customer may export its data for 30 days; approximately 7 days before deletion we remind the Customer by email, after which the data is deleted. Printed QR codes no longer work after deletion.
7. Availability, third-party providers
7.1 We strive for high availability (target value 99% as a monthly average, excluding announced maintenance and disruptions beyond our control, e.g. at hosting, dispatch or AI providers). The target value is not a commitment.
7.2 The delivery of emails depends on recipient servers, spam filters and the reputation of the dispatch channel. We owe the dispatch, not the receipt.
7.3 Whether review platforms display or remove reviews or publish replies is for those platforms alone to decide. If a platform changes its interface or policies, the integration may be restricted.
8. Rights to software and content
8.1 We grant the Customer, for the term of the contract, the simple (non-exclusive), non-transferable right to use the Service for its own business purposes.
8.2 The Customer's data remains its data. The Customer may freely use texts and QR codes that the Service creates for the Customer; the redirect addresses of the QR codes only work during the term of the contract.
9. Liability
9.1 We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act (Produkthaftungsgesetz) and insofar as we have assumed a guarantee or fraudulently concealed a defect.
9.2 In the event of a slightly negligent breach of material contractual obligations, liability is limited to the foreseeable damage typical for the contract, per claim to no more than the higher of the fees paid by the Customer in the last 12 months or €2,500. Otherwise, liability for slight negligence is excluded.
9.3 In the case of slight negligence, we are not liable for lost profits, loss of revenue, review results, decisions of review platforms or consequential damage. We are not liable for the content of third-party reviews.
9.4 We are not liable for damage resulting from the Customer documenting a legal basis incorrectly, using the existing-customer exception without its conditions being met, approving texts that violate section 4, or disregarding notices of the Service; if we are additionally at fault ourselves, § 254 BGB (contributory negligence) applies. Section 9.1 remains unaffected.
9.5 The limitations also apply in favour of our legal representatives, employees and vicarious agents. Strict liability (irrespective of fault) for defects existing at the time the contract is concluded is excluded. Claims become time-barred one year after the statutory commencement of the limitation period, except in the cases of section 9.1.
10. Data protection and processing on behalf
10.1 For data of the Customer's customers, the Customer is the controller; we process such data as processor. The Data Processing Agreement (DPA) pursuant to Art. 28 GDPR applies as an annex to these Terms (https://levamio.com/apps/bewertungs-agent/avv-en/).
10.2 For data of the Customer itself (account, billing, support) and for abuse prevention, we are the controller; details are set out in the Privacy Policy (https://levamio.com/apps/bewertungs-agent/datenschutz-en/).
11. Confidentiality
Both parties shall treat non-public information of the other party confidentially and use it only for the performance of the contract, also beyond the end of the contract.
12. Changes to these Terms
We may amend these Terms with effect for the future if there is an objective reason (e.g. new features, changes in the law, changed requirements of platforms or service providers). We notify changes by email at least 6 weeks in advance. If the Customer does not object within this period, the changes are deemed accepted; we point this out. If the Customer objects, either party may terminate with effect from the time the changes take effect. Changes to main performance obligations and prices are made only in accordance with section 5.4 or with consent.
13. Applicable law and place of jurisdiction
13.1 The law of the United Arab Emirates as applicable in the Emirate of Dubai applies, excluding the UN Convention on Contracts for the International Sale of Goods. Where, contrary to section 1.2, a Customer is a consumer, this choice of law does not apply to them; mandatory provisions of the state of their habitual residence and places of jurisdiction in their favour remain unaffected.
13.2 If the Customer is a merchant, a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in the EU, the exclusive place of jurisdiction is Dubai, United Arab Emirates; we may also sue the Customer at its general place of jurisdiction. Mandatory statutory places of jurisdiction remain unaffected.
14. Final provisions
14.1 Should individual provisions be invalid, the remainder of the contract remains valid; the statutory provisions take the place of the invalid provision.
14.2 Declarations under this contract require text form (email is sufficient).
14.3 The Customer may assign rights under this contract only with our consent; § 354a HGB (German Commercial Code; assignment of monetary claims between merchants) remains unaffected. We may transfer the contract to an affiliated company with a notice period of 6 weeks; the Customer may then terminate with effect from the time of transfer.
14.4 We provide these Terms in German and English; in case of discrepancies the German version prevails. Translations of the interface into further languages serve for information purposes only.
